Sanctuary Terms of Service — Families
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “Family User”) and Morning Bloom Care, LLC (“Sanctuary,” “we,” “us,” or “our”) governing your access to and use of the Sanctuary platform, website, mobile applications, and all related services (collectively, the “Platform”). By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.
- Nature of the Platform. Sanctuary is a marketplace and directory platform that facilitates connections between families seeking in-home care and independent caregivers. Sanctuary is not a home care agency, staffing company, employment agency, or healthcare provider. We do not employ, supervise, direct, or control any caregiver listed on the Platform. Any arrangement formed between you and a caregiver is solely between you and that caregiver.
- Eligibility and Account Registration. To use the Platform, you must be at least 18 years of age, have the legal capacity to enter into these Terms, provide accurate registration information, maintain the security of your account credentials, and comply with applicable law. You are responsible for all activity under your account and must notify us immediately at [email protected] of any unauthorized use.
- Platform Services and Limitations. Sanctuary provides a directory of caregiver profiles, optional AI-assisted intake tools that help you articulate care needs and generate a Care Profile, and communication tools to initiate contact with caregivers. We do not screen, vet, verify credentials, perform background checks, or endorse caregivers. You are solely responsible for independently verifying credentials, references, and background information.
- AI-Assisted Intake and Care Profiles. AI tools are for informational convenience only and do not constitute medical, diagnostic, or professional advice. Care Profiles are generated based on the information you provide and may contain errors or omissions. You are solely responsible for reviewing and verifying Care Profile information.
- User Conduct. You agree not to provide false or misleading information, use the Platform for unlawful purposes, harass or discriminate against caregivers, attempt to circumvent Platform features or fee structures, use bots or scraping tools, interfere with Platform operations, or solicit caregivers for unrelated purposes. We may suspend or terminate your account for violations.
- Fees. Family accounts are currently free to create and use. We reserve the right to introduce fees, premium features, or subscription tiers at any time with reasonable notice. Continued use after fee changes constitutes acceptance.
- Connection Activity Transparency. The Platform may display information about how many caregivers you have contacted or how many connections remain active. By using the Platform, you consent to the display of your anonymized connection activity data to caregivers.
- Intellectual Property. All Platform content, functionality, software, text, graphics, and trademarks are owned by or licensed to Sanctuary. You retain ownership of content you submit but grant Sanctuary a perpetual, worldwide, royalty-free, non-exclusive license to use and distribute that content in connection with operating and promoting the Platform.
- Disclaimer of Warranties. THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. Sanctuary makes no warranty regarding the quality, accuracy, reliability, suitability, or safety of any caregiver, care services, or information provided through the Platform.
- Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SANCTUARY PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM OR ANY CAREGIVER SERVICES. TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO SANCTUARY IN THE TWELVE MONTHS PRECEDING THE CLAIM OR $100.00.
- Indemnification. You agree to indemnify, defend, and hold harmless the Sanctuary Parties from claims arising out of your use of the Platform, your engagement of a caregiver, your violation of these Terms or applicable law, or your violation of third-party rights.
- Dispute Resolution and Arbitration. Any dispute arising out of or relating to these Terms, the Platform, or caregiver services shall be resolved exclusively by binding arbitration administered by the AAA under its Consumer Arbitration Rules in Harris County, Texas. You and Sanctuary waive the right to participate in class actions or class-wide arbitration. You may opt out by sending written notice to [email protected] within thirty days of first accepting these Terms.
- Governing Law. These Terms are governed by the laws of the State of Texas. To the extent litigation is permitted, exclusive jurisdiction and venue lie in Harris County, Texas.
- Modifications. We may modify these Terms at any time by posting updated Terms on the Platform and updating the Effective Date. Continued use constitutes acceptance.
- Termination. We may suspend or terminate your account and access to the Platform at any time, for any reason or no reason, with or without prior notice. Sections concerning intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law survive termination.
- Severability. If any provision is invalid or unenforceable, the remaining provisions continue in full force and effect.
- Entire Agreement. These Terms, together with the Privacy Policy and other referenced policies, constitute the entire agreement between you and Sanctuary regarding the Platform.
